  • Merger control

- we notify mergers, acquisitions and joint-ventures to the Spanish competition authority (CNMC) or the European Commission

- we adapt the sales and purchase agreements to include necessary condition precedent clauses required by the competition authorities

- we coordinate with the law firms of our collaboration network in case of multi-jurisdictional notifications  

  • Competition / antitrust

- we analyze commercial agreements and practices from a competition law perspective (e.g. parallel imports, collaboration agreements, distribution agreements, licences, co-promotion, co-marketing, R&D, specialization or subcontracting agreements).

- we represent companies in investigations by the Spanish competition authority (CNMC) or DG COMP due to competition law infringements (e.g. cartel or abuse of dominant position) and in settlement negotiations

- we assist companies in dawn raids by the Spanish competition authority (CNMC) or by DG COMP and, further down the line, before the Spanish Appeals Court (Audiencia Nacional), Spanish Supreme Court (Tribunal Supremo) or EU Courts

- we file leniency applications

- we file anti-trust complaints to the Spanish competition authority (CNMC) or DG COMP

- we draft competition compliance programs

- we provide competition law training sessions

- we assist plaintiffs or defendants in private enforcement for damages linked to cartels or abuses of dominant position (both follow-on and stand-alone)

- we coordinate with our team of economists to quantify damages

- we advise governments and public authorities on the legality of envisaged aid

- we advise complainants or aid beneficiaries on the legality of granted state aid

- we file state aid notifications and/or complaints with the European Commission
